Informational purposes only

The Site is provided for general information about the Club and its residences, amenities and ownership program. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, an ownership interest in any jurisdiction where such an offer or solicitation cannot lawfully be made, or to any person to whom it cannot lawfully be made. Ownership interests are offered and sold solely pursuant to the Club's governing documents and applicable purchase agreements, which control over anything on this Site.

Descriptions, photographs, floor plans, availability and program details shown on the Site are believed accurate but are subject to change without notice and are not guaranteed. Current pricing, fees, availability and legal terms must be confirmed directly with the Club's sales or management team.

Owner portal accounts

Portions of the Site are reserved for Club owners and require an account. Accounts are personal to the owner they are issued to and may not be shared or transferred. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use.

Reservations, account balances and other information shown in the owner portal are provided as a convenience. All reservations and usage rights are governed by the Club's governing documents and reservation policies, which control in the event of any conflict with information displayed on the Site.

We may suspend or terminate portal access at any time for violation of these Terms or of the Club's governing documents.

Acceptable use

When using the Site you agree not to:

• attempt to gain unauthorized access to any portion of the Site, other users' accounts, or the systems and networks that support the Site;
• use the Site to transmit anything unlawful, misleading, defamatory or infringing;
• interfere with the operation of the Site, including by introducing malicious code or placing an unreasonable load on our infrastructure;
• scrape, harvest or collect information about other users, including owner directory information, for any purpose unrelated to Club membership; or
• use any content from the Site for commercial purposes without our prior written consent.

Intellectual property

The Site and its contents — including text, photographs, video, graphics, logos and design — are the property of the Club or its licensors and are protected by copyright, trademark and other laws. You may view, download and print pages from the Site for your personal, non-commercial use only; all other use requires our prior written permission.

Third-party services

The Site may contain links to, or embed content from, third-party services (for example, video hosted on YouTube). Those services are governed by their own terms and privacy policies, and we are not responsible for their content or practices.

Disclaimer of warranties

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

Limitation of liability

To the fullest extent permitted by law, the Club and its affiliates, managers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, arising out of or relating to your use of (or inability to use) the Site. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless the Club and its affiliates, managers, employees and agents from any claims, losses and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

Changes to these Terms

We may update these Terms from time to time. The date of the latest revision appears at the top of this page, and changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or your use of the Site shall be brought exclusively in the state or federal courts having jurisdiction over Monroe County, Florida. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
